Affiliate Program Terms and Conditions

These Affiliate Program Terms and Conditions (the “Affiliate Terms”) govern your participation in the AgencyAnalytics Affiliate Program (the “Program”) administered through PartnerStack. These Affiliate Terms form an agreement between you and My SEO Tool Inc. (doing business as AgencyAnalytics) (“AgencyAnalytics,” “us,” “we,” “our”).

By applying to, accessing, or participating in the Program, you agree to be bound by these Affiliate Terms and our Privacy Policy.

1. DEFINITIONS

“Affiliate” means an individual or entity approved to participate in the Program.

“Affiliate Dashboard” means the PartnerStack dashboard used to track referrals, Commission, and payouts related to the Program.
“Affiliate Link” means your unique tracking link generated in PartnerStack for the purposes of participation in the Program.

 “Commission” means the amount payable to an Affiliate under these Affiliate Terms for Qualified Transactions.
“Cookie Window” means the attribution period after a click on an Affiliate Link.
“Prospect” means a potential AgencyAnalytics customer that does not hold an active paid AgencyAnalytics subscription at the time of referral.
“Customer” means a Prospect that becomes a new paying AgencyAnalytics subscriber through a valid referral tracked in PartnerStack.
“Net Subscription Revenue” means subscription fees actually received by AgencyAnalytics, excluding taxes, refunds, credits, chargebacks, discounts, and promotions.
“One-time fees” means non-recurring fees, including concierge implementation and similar services.

“PartnerStack” means PartnerStack Inc. and its platform, including the PartnerStack marketplace and partner portal.
“Qualified Transaction” means a Customer’s paid subscription transaction that meets the eligibility requirements in these Affiliate Terms.

2. PROGRAM ENROLLMENT AND ACCOUNT SECURITY

To enroll in the Program, you must submit an application through PartnerStack and provide complete and accurate information. You are responsible for maintaining the security of your PartnerStack credentials and all activity under your account. AgencyAnalytics reserves the right to approve or reject any application for participation in the Program at its sole discretion.

3. REFERRAL TRACKING, ATTRBUTION, AND COOKIE WINDOW

  1. Cookie Window: The Program uses a 90-day Cookie Window from the date a Prospect clicks your Affiliate Link.

  2. Attribution Model: PartnerStack uses a last-click attribution model for Affiliate Links, meaning that (subject to the other provisions of these Affiliate Terms) referrals and Commission will be attributed only to the Affiliate Link a new Customer last clicked prior to becoming a Customer.

  3. Qualified Transaction: A referral qualifies as a Qualified Transaction for an Affiliate only when (1) PartnerStack tracking records a Prospect’s click on an Affiliate Link (subject to section 3b) of that Affiliate, (2) the Prospect converts to a new paying Customer within the 90-day Cookie Window; and otherwise satisfies any other applicable requirements of these Affiliate Terms.

  4. Integrity: AgencyAnalytics may reject referrals resulting from prohibited conduct, fraudulent activity, cookie stuffing, forced clicks, or tracking manipulation, and in any event such referrals will not qualify as Qualified Transactions notwithstanding any other provision of these Affiliate Terms.

4. COMMISSION STRUCTURE AND ELIGIBILITY

4.1 Commission Rates and Tiers

Commission is paid as a percentage of Net Subscription Revenue for an Affiliate’s Qualified Transactions for up to 12 months from the applicable Customer’s subscription start date:

  • Partner Tier: 15% recurring commission (up to a maximum of $1,500 per Customer)

  • Growth Tier: 20% recurring commission (up to a maximum of $1,500 per Customer)

  • Elite Tier: 25% recurring commission (up to a maximum of $1,500 per Customer)

Tier qualification and upgrades follow the thresholds published on the Affiliate Dashboard in PartnerStack and any Program documentation.

Bonus opportunities or performance incentives, if offered, will be offered at the sole discretion of AgencyAnalytics and will be governed by terms and conditions set out in additional Program documentation which will be made available to Affiliates via PartnerStack.

4.2 Eligible Revenue

  1. Calculation: Commission will be calculated on each Qualified Transaction of an Affiliate based on Net Subscription Revenue paid to AgencyAnalytics for a Customer’s active paid subscription.

  2. One-time fees: Commission excludes One-time fees, including but not limited to concierge implementation or similar services. When a Customer uses a discount or promotion, Commission is calculated on Net Subscription Revenue during the discounted period.

4.3 Commission duration and limits

Commission in respect of a Qualified Transaction is payable for up to 12 months from the applicable Customer’s subscription start date, provided the Customer maintains an active paid subscription in good standing during that 12 month period, up to a maximum Commission of $1,500 per Customer. If the Customer cancels during that 12-month period, Commission stops for that Customer and does not renew.

4.4 New Customer Requirement

Commission is payable only for new Customers. AgencyAnalytics will not pay Commission to any Affiliate for a renewal of an existing subscription or for any new subscription involving previous AgencyAnalytics subscribers, or for any subscription that does not generate new Net Subscription Revenue for AgencyAnalytics.

5. PAYMENTS, VALIDATION, REVERSALS, AND TAXES

5.1 Payout Schedule and Validation Hold

  1. Paid Monthly: Commission will be paid monthly through PartnerStack.

  2. Validation Hold: AgencyAnalytics applies a validation period of 60 days before the first payout related to a Customer is issued in order to accommodate billing verification and reduce cancellation abuse. The validation period begins on the date of the first invoice issued to a Customer.

  3. Payment Method: Payouts are issued through PartnerStack using available payment methods, including direct deposit where supported by PartnerStack and the Affiliate.

5.2 Reversals and Offsets

AgencyAnalytics reserves the right to reverse or withhold Commission for refunds, chargebacks, fraud, duplicate referrals, violations of these Affiliate Terms or any other related policies, or transactions that do not constitute Qualified Transactions. AgencyAnalytics will offset reversed amounts against future payouts where applicable.

No Commission is owed to any Affiliate unless and until AgencyAnalytics receives payment in full from the Customer in relation to a Qualified Transaction. Pending or delayed Commission payments will not accrue interest.

5.3 Taxes and Fees

You are responsible for all taxes, processing fees, and any other fees that may arise from Commission payments, including but not limited to fees charged by your financial provider and PartnerStack.

6. SELF-REFERRALS AND INELLIGIBLE REFERRALS

Self-referrals are prohibited. The Program is not a discount, rebate, or cashback mechanism.

Affiliates will not earn Commission on:

  • their own AgencyAnalytics subscription;

  • an AgencyAnalytics subscription belonging to any person, corporation, company, partnership, joint venture, or other entity, which is directly or indirectly controlling, controlled by, or under common control with the Affiliate, and for such purposes the term “control” means the holding of fifty percent (50%) or more of the common voting stock or ordinary shares in, or has the right to appoint fifty percent (50%) or more of the directors of, or any other arrangement resulting in the right to direct the management of, the said corporation, company, partnership, joint venture, or entity;

  • any AgencyAnalytics subscription the Affiliate otherwise owns, controls, manages, or has access to;

  • any attempt to route a transaction through Affiliate Links for personal benefit.

AgencyAnalytics will withhold Commission tied to prohibited self-referral activity and will terminate Affiliate participation for repeated or deliberate violations.

7. PROMOTIONAL GUIDELINES

Affiliates will promote AgencyAnalytics in a truthful, accurate, and transparent manner.

7.1 Permitted Promotional Channels

Permitted channels may include:

  • blogs and editorial content;

  • email marketing and newsletters;

  • social media and influencer content;

  • educational content, reviews, and comparisons.

7.2 Required Disclosures

Affiliates will clearly disclose the affiliate relationship where required by law and platform rules (including FTC and equivalent international rules).

7.3 Prohibited Conduct

Affiliates will not:

  • use spam, unsolicited email, or deceptive messaging;

  • misrepresent pricing, features, results, or availability;

  • use cookie stuffing, forced clicks, iframe placements, hidden links, pop-unders, or similar tactics;

  • impersonate AgencyAnalytics or present themselves as AgencyAnalytics staff;

  • publish unapproved coupon codes or claim exclusive discounts without written approval from AgencyAnalytics;

  • engage in any conduct that may contravene applicable law;

  • engage in any conduct that may harm the brand or reputation of AgencyAnalytics or its services.

8. PAID SEARCH, BRANDED TERMS, AND TRADEMARK RESTRICTIONS

8.1 Trademark Bidding and Branded Targeting

Affiliates will not bid on, purchase, target, or optimize content for AgencyAnalytics branded terms, including:

  • “AgencyAnalytics”;

  • misspellings, variations, and brand + “coupon/discount/promo” terms;

  • any trademarked AgencyAnalytics product or brand phrases.

This prohibition also includes, but is not limited to:

  • paid search bidding;

  • paid social keyword targeting where applicable;

  • organic pages created specifically to target branded terms;

  • commenting (with Affiliate Links) on AgencyAnalytics-owned channels (including social channels or branded forums). 

8.2 Paid Advertisements Destination Rules

Paid advertisements must direct users to the Affiliate’s own website, landing page, or content. Affiliates will not direct paid advertisements directly to AgencyAnalytics domains using Affiliate Links.

8.3 Trademarks and Domains

Affiliates will not use the AgencyAnalytics brand name without prior written approval from AgencyAnalytics in:

  • domain names;

  • social handles;

  • display URLs;

  • advertisement copy or creative.

9. MARKETING ASSETS AND LOCALIZATION

Affiliate creative assets are provided in English only unless AgencyAnalytics publishes additional assets. AgencyAnalytics landing pages are available in multiple languages as published on our website and in the Program documentation.

10. FRAUD, COMPLIANCE, AND AUDIT RIGHTS

AgencyAnalytics monitors traffic quality, conversion patterns, and compliance. AgencyAnalytics reserves the right to audit Affiliate activity related to the Program and require supporting documentation for promotional methods and traffic sources. Any attempt to manipulate referrals, inflate conversions, or abuse tracking will result in the immediate termination of the Affiliate’s participation in the Program and forfeiture of any unpaid Commission.

11. INTELLECUTAL PROPERTY AND LICENSE

a.     Ownership: AgencyAnalytics and its licensors own all rights, title, and interest in the AgencyAnalytics trademarks, products, website, and materials. No rights are granted to any Affiliate or third party except as expressly set forth in these Affiliate Terms.

 

b.     License: Affiliates receive a limited, revocable, non-exclusive, non-transferable, royalty-free license to use approved trademarks and brand assets solely for the purpose of participation in the Program, provided that Affiliates comply with the standards for such trademark and brand asset use as set and modified by AgencyAnalytics from time to time.

 

c.     Termination: Upon termination, Affiliates will immediately stop using AgencyAnalytics brand assets and remove Affiliate Links where required.

12. TERM AND TERMINATION

a.     Term: These Affiliate Terms take effect on the date AgencyAnalytics approves your participation in the Program through PartnerStack and continues until your participation in the Program is terminated.

 

b.     Termination: AgencyAnalytics will suspend or terminate your participation in the Program immediately in cases of suspected fraud, emergency, enforcement by external authorities, or regulatory requirement. For other terminations, where practicable, AgencyAnalytics will provide at least five (5) days' prior written notice. Upon termination, your right to participate in the Program ends immediately.

 

c.     Forfeiture of Commission: The Affiliate will forfeit any unpaid Commission tied to violations of these Affiliate Terms. Commission otherwise earned on Qualified Transactions before termination remain subject to validation, reversals, and offsets under these Affiliate Terms.

13. CONFIDENTIALITY

13.1 Definition of Confidential Information

As used herein, “Confidential Information” means all confidential and proprietary information of a party (the “Disclosing Party”) disclosed to the other party (the “Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including the terms and conditions of these Affiliate Terms, any Program documentation, business and marketing plans, technology and technical information including AgencyAnalytics’ security guides and reports, product designs, and business processes. Confidential Information shall not include any information that: (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party; (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party; (iii) was independently developed by the Receiving Party without breach of any obligation owed to the Disclosing Party; or (iv) is received from a third party without breach of any obligation owed to the Disclosing Party.

13.2 Confidentiality

The Receiving Party shall not disclose or use any Confidential Information of the Disclosing Party for any purpose outside the scope of this Agreement, except with the Disclosing Party's prior written permission. Notwithstanding the foregoing, AgencyAnalytics may: disclose this Agreement to its actual and prospective investors, lenders, acquirers, advisors and partners provided that such disclosure is subject to confidentiality obligations at least as restrictive as AgencyAnalytics’ confidentiality obligations under these Affiliate Terms.

13.3 Protection

Each party agrees to protect the confidentiality of the Confidential Information of the other party in the same manner that it protects the confidentiality of its own proprietary and confidential information of like kind (but in no event using less than reasonable care).

13.4 Compelled Disclosure

If the Receiving Party is compelled by law to disclose Confidential Information of the Disclosing Party, it shall provide the Disclosing Party with prior notice of such compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, to provide the Disclosing Party the opportunity to contest the disclosure.

13.5 Remedies

If the Receiving Party discloses or uses (or threatens to disclose or use) any Confidential Information of the Disclosing Party in breach of confidentiality protections hereunder, the Disclosing Party shall have the right, in addition to any other remedies available to it, to seek injunctive relief to enjoin such acts, it being specifically acknowledged by the parties that any other available remedies may be inadequate.

14. INDEMNIFICATION

The Affiliate agrees to defend, indemnify, and hold harmless AgencyAnalytics, its directors, officers, employees, contractors, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

a.      the Affiliate’s promotional activities, marketing content, representations, or claims regarding AgencyAnalytics or the Program;

 

b.     any breach of these Affiliate Terms or applicable Program policies by the Affiliate;

 

c.      misuse of AgencyAnalytics trademarks, intellectual property, or brand assets by the Affiliate;

 

d.     violation of any applicable law, regulation, or industry standard, including but not limited to advertising, consumer protection, privacy, data protection, or marketing laws (including FTC endorsement guidelines, CAN-SPAM, GDPR, CASL, or similar regulations) by the Affiliate; or

 

e.      any allegation that the Affiliate’s content, promotional materials, or marketing practices infringe or misappropriate the intellectual property or other rights of a third party.

AgencyAnalytics reserves the right to assume control of the defense of any claim subject to indemnification, at its own expense, and the Affiliate agrees to cooperate reasonably in such defense.

15. DISCLAIMERS AND WARRANTIES

15.1 Warranties

a.     Authority: Each party represents and warrants that it has the full legal power and authority to enter into these Affiliate Terms.

 

b.     Affiliate Warranties: Affiliate represents and warrants that it will comply with all applicable laws (including marketing and advertising laws in your region, such as those related to disclosure of promotions and paid sponsorships), regulations, orders and ordinances in rendering the services and shall not make any false, misleading or disparaging remarks about AgencyAnalytics or our products and services. You will at all times during the term of this agreement act in a professional manner and not engage in practice or conduct detrimental to your reputation, or to the reputation of AgencyAnalytics and our products and services. 

 

c.     AgencyAnalytics Warranties: AgencyAnalytics warrants it will administer the Program in compliance with applicable law and materially in accordance with these Affiliate Terms and any Program documentation and policies.

15.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND AGENCYANALYTICS MAKES NO WARRANTIES OR REPRESENTATIONS TO AFFILIATE, ITS AUTHORIZED USERS OR TO ANY OTHER PARTY REGARDING THE PROGRAM OR ANY OTHER PRODUCTS, SERVICES, OR MATERIALS PROVIDED HEREUNDER TO AFFILIATE OR CUSTOMERS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENCYANALYTICS HEREBY DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

16. LIMITATION OF LIABILITY

16.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENCYANALYTICS TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSION ACTUALLY PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, REGARDLESS OF THE LEGAL OR EQUITABLE THEORY ON WHICH THE CLAIM OR LIABILITY IS BASED.

16.2 Exclusion of Consequential and Related Damages

NEITHER AGENCYANALYTICS NOR ANY OTHER PARTY INVOLVED IN THE PROGRAM WILL BE LIABLE FOR ANY LOST PROFITS OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, THE COST OF PROCUREMENT OF SUBSTITUTE GOODS, DATA, INFORMATION OR SERVICES; DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOST SAVINGS OR OTHER SIMILAR PECUNIARY LOSS HOWEVER CAUSED AND, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES.

16.3 Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability so the foregoing limitations and exclusions may not apply to the extent such limitations are prohibited by law. In such cases, liability shall be limited to the maximum extent permitted by law.

16.4 Basis of the Bargain

The parties acknowledge and affirm that the provisions in these Affiliate Terms regarding warranties, indemnity, disclaimer, limitations of liability and damage limitation allocate risk between the parties. This allocation is reflected in the terms hereof, including pricing, and is an essential element of the basis of the bargain between the parties.

17. CHANGES TO THESE AFFILIATE TERMS

AgencyAnalytics reserves the right, at its sole discretion, to modify or replace these Affiliate Terms at any time. For material changes, AgencyAnalytics will make reasonable efforts to provide at least thirty (30) days’ notice before the changes take effect. 

Changes may include, but are not limited to:

  • Commission rates, Commission caps, tier thresholds, or eligibility requirements;

  • Commission Windows, payout schedules, validation periods, or payment methods;

  • Cookie Window length or attribution models;

  • bonus programs, performance incentives, or limited-time promotional offers;

  • approved or prohibited promotional methods, channels, or content guidelines;

  • trademark usage rules, paid advertising restrictions, or branding requirements;

  • Program eligibility criteria, approval standards, or participation requirements;

  • Program suspension, termination rights, or enforcement practices.

Continued participation in the Program after changes to these Affiliate Terms take effect constitutes acceptance of the revised Affiliate Terms.

18. RELATIONSHIP OF THE PARTIES

Nothing contained in these Affiliate Terms shall be deemed or construed to place the parties in the relationship of partners, joint venturers, principal agents, or employer-employee, it being understood that the parties hereto are and will remain independent contractors in all respects and neither party shall have any right to obligate or bind the other in any manner whatsoever.

19. ENTIRE AGREEMENT

These Affiliate Terms, together with the privacy policy, set forth the entire and final agreement and understanding of the parties and contain all of the agreements made between the parties with respect to the subject matter hereof. These Affiliate Terms supersede any and all other agreements, either oral or in writing, between the parties hereto, with respect to the subject matter hereof. No change or modification of these Affiliate Terms shall be valid unless in writing and signed by the parties hereto.

20. GOVERNING LAW

These Affiliate Terms, and any claim, controversy, or dispute arising under, or related to these Affiliate Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, as applicable, without regard to the principles of conflicts of law.

21. SEVERABILITY

If any provision of these Affiliate Terms is held by a court of competent jurisdiction to be contrary to law, the provision shall be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of these Affiliate Terms shall remain in effect.

22. LANGUAGE

The parties expressly request and agree that these Affiliate Terms and all related policies and documentation shall be written in English. Les parties conviennent et exigent expressément que ce contrat et tous les documents qui s’y rapportent soient rédigés en Anglais.

23. INCORPORATION BY REFERENCE

Program documentation, policies, and rules published in PartnerStack are incorporated by reference and govern where applicable.
